1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and MoonPays.io ("MoonPays," "we," "us," or "our") governing your access to and use of the website, applications, and payment processing services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Eligibility

To use our Services, you must be at least 18 years old and capable of forming a binding contract with MoonPays. If you are using the Services on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.

3. Account Registration

To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Payment Services

MoonPays provides payment processing services that allow businesses to accept payments from their customers. By using our payment services, you agree to comply with all applicable laws, rules, and regulations governing payment processing, including those related to anti-money laundering, know-your-customer requirements, and data protection.

4.1 Fees

You agree to pay all fees associated with your use of the Services as specified in your service agreement or on our pricing page. We reserve the right to change our fees upon notice to you.

4.2 Prohibited Activities

You agree not to use the Services for any illegal or unauthorized purpose, including but not limited to:

• Fraudulent transactions
• Money laundering
• Terrorist financing
• Sale of illegal goods or services
• Transactions involving prohibited businesses as defined in our Acceptable Use Policy

5. Intellectual Property

The Services and all content, features, and functionality thereof, including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof, are owned by MoonPays, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall MoonPays, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Services, including any direct, indirect, special, incidental, consequential, or punitive damages.

7. Indemnification

You agree to defend, indemnify, and hold harmless MoonPays, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

8. Term and Termination

These Terms shall remain in full force and effect while you use the Services. We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
